He needed someone to build the entire chassis of his new car, and he had no money to pay for it. John Francis Dodge and Horace Elgin Dodge took the job and took stock instead of cash: one hundred shares, one tenth of the Ford Motor Company, for ten thousand dollars, most of it in materials rather than money. Ten years later Ford switched on the moving assembly line at Highland Park. Build time for a Model T fell from twelve and a half hours to ninety-three minutes, and the price fell with it, from eight hundred fifty dollars in 1908 to four hundred ninety by 1914. Two economists later put Ford's share of the low priced car market at ninety-six percent. Then came the five dollar day, announced on January 5, 1914. Workers making about two dollars and thirty cents a shift were offered five dollars for a shorter one. Men came to Detroit from all over the Midwest, and the crowd outside the plant was broken up with fire hoses. By 1916 the Dodge brothers were no longer supplying Ford. They were building their own car, a heavier and more expensive machine, and they were funding it with Ford dividend checks. That year Henry Ford cut the dividend from about sixteen million dollars to about three million and announced there would be no more special payouts, indefinitely, in the most profitable year the company had ever had. The brothers sued on November 2, 1916. They asked for at least seventy-five percent of the accumulated cash surplus, for every future dollar of earnings beyond emergency needs, and for an injunction to stop construction of the River Rouge complex. Ford took the stand and refused to argue business judgment. He talked about employing more men and helping them build their homes, and said the company existed to do as much good as possible for everybody concerned, and incidentally to make money. On February 7, 1919 the Michigan Supreme Court split the difference. It affirmed the dividend, ordering roughly nineteen million three hundred thousand dollars paid out, and reversed the injunction, refusing to stop the factory because, in the court's own words, the judges are not business experts. And it wrote the line that appears in every corporate law casebook in the country: a business corporation is organized and carried on primarily for the profit of the stockholders. Ford lost, and then did something the courtroom could not touch. He resigned, and let it be known that he might start a rival automaker from scratch. Every minority shareholder sold. In July 1919 he bought the company back for about a hundred and six million dollars, twenty-five million of it to the Dodges, with borrowed money from bankers chosen far from Detroit. John Dodge died on January 14, 1920, of pneumonia following influenza. Horace Dodge died on December 10 of the same year, at fifty-two. 💬 JOIN THE ARGUMENT 💬 Does it matter whether a company does right by you out of decency or out of cold self interest?
